Privacy Policy
1. PURPOSE
The Disclosing Party intends to share certain confidential and proprietary information with the Receiving Party related to finance and insurance solutions, products, contracts, customer data, pricing, or business processes ("Confidential Information") for the purpose of evaluating a potential business relationship or collaboration.
2. DEFINITION OF CONFIDENTIAL INFORMATION
Confidential Information includes, but is not limited to:
- Financial and operational data
- Customer lists and contact information
- Pricing, contracts, and proposals
- Business strategies, processes, or trade secrets
- Any information marked "Confidential" or reasonably understood to be confidential
Confidential Information does not include information that:
- Is publicly available at the time of disclosure
- Becomes publicly available through no fault of the Receiving Party
- Was already known by the Receiving Party without obligation of confidentiality
- Is independently developed by the Receiving Party without use of Disclosing Party's information
3. OBLIGATIONS OF RECEIVING PARTY
The Receiving Party agrees to:
1. Maintain Confidential Information in strict confidence
2. Use Confidential Information solely for the Purpose described above
3. Not disclose Confidential Information to any third party without prior written consent
4. Take reasonable measures to protect the confidentiality of the information (at least the same measures used to protect their own confidential information)
4. TERM
This Agreement is effective as of the date above and shall remain in effect for [5 years] unless terminated in writing by either Party. Obligations with respect to Confidential Information shall survive termination for a period of [5 years] from the date of disclosure.
5. RETURN OR DESTRUCTION OF MATERIALS
Upon request of the Disclosing Party, the Receiving Party shall return or destroy all materials containing Confidential Information, including all copies, notes, or summaries.
6. NO LICENSE OR OTHER RIGHTS
Nothing in this Agreement grants the Receiving Party any rights to patents, copyrights, trade secrets, or other intellectual property of the Disclosing Party, except the limited right to use the Confidential Information for the Purpose.
7. REMEDIES
The Receiving Party acknowledges that unauthorized disclosure or use of Confidential Information may cause irreparable harm. The Disclosing Party may seek injunctive relief or other equitable remedies, in addition to any other remedies available at law or in equity.
8. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.
9. ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between the Parties regarding the subject matter, and supersedes all prior discussions, agreements, or understandings. Any amendments must be in writing and signed by both Parties. IN WITNESS WHEREOF, the Parties have executed this Agreement as of the date first above written.
